END USER LICENSE AGREEMENT (EULA)

This End User License Agreement (“Agreement”) is a legal agreement between you (“User,” “you,” or “your”) and ActOps (“Company,” “we,” “us,” or “our”) governing your use of the ActOps application, including its integration with third-party services such as QuickBooks Online.

By accessing or using ActOps, you agree to be bound by this Agreement.

1. License Grant

Subject to your compliance with this Agreement, ActOps grants you a limited, non-exclusive, non-transferable, revocable license to access and use the application for your internal business or personal accounting and financial management purposes.

2. Description of Service

ActOps is a financial operations platform designed to integrate with accounting systems, including QuickBooks Online, to facilitate data synchronization, reporting, and workflow automation.

We do not own or control QuickBooks Online and are not affiliated with or endorsed by Intuit Inc.

3. User Responsibilities

You agree to:

• Provide accurate and complete information when using the application

• Maintain the confidentiality of your login credentials

• Use the application in compliance with all applicable laws and regulations

• Ensure you have proper authorization to connect to any third-party services (including QuickBooks Online)

4. Restrictions

You shall not:

• Reverse engineer, decompile, or disassemble the application

• Use the application for unlawful or fraudulent purposes

• Interfere with or disrupt the integrity or performance of the application

• Attempt unauthorized access to any systems or data

5. Third-Party Services

ActOps integrates with third-party platforms such as QuickBooks Online. Your use of such services is subject to their respective terms and privacy policies.

We are not responsible for:

• The accuracy, availability, or reliability of third-party services

• Any data loss or damages arising from third-party integrations

6. Data Access and Privacy

By using ActOps, you authorize us to:

• Access and retrieve your financial data from connected services such as QuickBooks Online

• Process and store such data for the purpose of providing our services

We implement reasonable security measures; however, we cannot guarantee absolute security.

7. Fees and Payment

Certain features of ActOps may require payment. All fees are non-refundable unless otherwise stated.

8. Intellectual Property

All rights, title, and interest in and to ActOps, including software, design, and content, are owned by the Company. This Agreement does not grant you ownership rights.

9. Termination

We may suspend or terminate your access at any time, with or without notice, if you violate this Agreement.

Upon termination:

• Your license to use the application will immediately cease

• We may delete your data in accordance with our data retention policies

10. Disclaimer of Warranties

ActOps is provided “as is” and “as available.”

We disclaim all warranties, including:

• Merchantability

• Fitness for a particular purpose

• Non-infringement

We do not guarantee that:

• The application will be error-free or uninterrupted

• Financial data or reports will be accurate or complete

11. Limitation of Liability

To the fullest extent permitted by law:

ActOps shall not be liable for:

• Indirect, incidental, or consequential damages

• Loss of profits, data, or business opportunities

Our total liability shall not exceed the amount paid by you (if any) for the use of the application.

12. Indemnification

You agree to indemnify and hold harmless ActOps from any claims, damages, or expenses arising from:

• Your use of the application

• Your violation of this Agreement

• Your violation of any third-party rights

13. Governing Law

This Agreement shall be governed by the laws of the State of Illinois, without regard to conflict of law principles.

14. Changes to This Agreement

We may update this Agreement from time to time. Continued use of ActOps constitutes acceptance of the revised terms.
